By signing below, each of the above-listed businesses and officers/owners (individually and collectively, “Applicant”) certifies and represents that such person is authorized to sign on behalf of the named business, that all information and supporting documentation submitted in connection with this application are true, correct, and complete, and that all such information may be relied upon by BIZSOFT LLC (“BIZSOFT”) and the Recipients (defined below).
Applicant acknowledges and agrees that BIZSOFT is not a lender, bank, creditor, or other financing provider and does not itself make lending, underwriting, credit, approval, denial, or funding decisions. BIZSOFT acts solely as an intermediary and technology platform facilitating the submission and transmission of financing applications and related information between Applicants and independent third-party lenders, financing companies, and other financial service providers. Any decision regarding whether to approve, decline, offer, fund, modify, or otherwise provide financing to Applicant is made solely and independently by the applicable third-party lender or financing provider based upon its own underwriting standards, eligibility requirements, policies, and applicable law. BIZSOFT does not guarantee or represent that Applicant will be approved for financing, receive any particular amount of financing, or receive any particular interest rate, factor rate, repayment term, fee, or other financing condition.
Applicant hereby authorizes BIZSOFT and each of its representatives, successors, assigns, designees, service providers, and third-party funding partners, including lenders and other finance providers with whom BIZSOFT has, or may in the future enter into, commercial-financing, commercial-brokerage, referral, or other financing relationships (collectively, “Recipients”):
1. To obtain consumer or personal, business, commercial, and investigative reports and other information concerning Applicant and its owners, principals, guarantors, and/or authorized representatives, as applicable, including hard and/or soft credit inquiries, from one or more consumer reporting agencies, including TransUnion, Experian, and Equifax, and from other lawful sources;
2. To obtain, verify, review, and analyze credit card processor statements, bank statements, financial statements, tax information, business records, and other financial or commercial information from banks, creditors, processors, financial institutions, Applicant, and other third parties;
3. To obtain the release, by any creditor, bank, financial institution, credit card processor, or other third party, of information relating to Applicant and/or its owners, principals, guarantors, or authorized representatives, as applicable, to BIZSOFT and/or any Recipient;
4. To transmit, share, disclose, and otherwise provide this application and any information, documentation, reports, statements, or other data obtained or submitted in connection with this application to one or more Recipients for purposes of evaluating, underwriting, processing, offering, arranging, or providing potential commercial financing or other financial products or services to Applicant;
5. To use Applicant’s information for purposes reasonably related to facilitating financing opportunities, communicating with Applicant regarding the status of an application, requesting additional documentation, presenting financing offers, and identifying other potentially applicable financing opportunities, subject to applicable law; and
6. To contact Applicant and its authorized representatives via e-mail, telephone call, and/or text message at the e-mail address(es) and/or telephone number(s) provided in this application, or at any e-mail address(es) and/or telephone number(s) reasonably identified as belonging to Applicant or its authorized representatives, including wireless numbers, where permitted by applicable law, including for purposes relating to this application, potential commercial-financing opportunities, application status, documentation requests, and other lawful communications.
Applicant understands and agrees that BIZSOFT may submit Applicant’s application and information to one or more Recipients and that different Recipients may apply different eligibility requirements, underwriting standards, rates, fees, repayment structures, terms, and conditions. Applicant further understands that BIZSOFT has no control over the underwriting criteria, credit policies, financing terms, approval decisions, funding decisions, or other actions of any Recipient.
NO GUARANTEE OF FINANCING. Applicant acknowledges that submission of an application does not constitute an offer, commitment, promise, or guarantee that Applicant will receive financing or any particular financing terms. BIZSOFT makes no representation or warranty regarding the likelihood of approval, the amount of financing available, interest rates, factor rates, fees, repayment terms, funding timelines, or any other terms offered by a Recipient. Any financing offered to Applicant is subject solely to the applicable Recipient’s approval, underwriting, documentation, and final financing agreement.
THIRD-PARTY LENDERS AND FINANCING PROVIDERS. Applicant acknowledges that any lender or financing provider presented to Applicant through BIZSOFT is an independent third party and is not an employee, agent, subsidiary, or representative of BIZSOFT solely by virtue of being a Recipient. Applicant understands that BIZSOFT does not control or guarantee the acts, omissions, representations, decisions, products, services, rates, fees, terms, or performance of any Recipient. Any agreement for financing entered into between Applicant and a Recipient is solely between Applicant and such Recipient and is governed by the terms of the applicable financing agreement and disclosures provided by that Recipient.
ACCURACY OF INFORMATION. Applicant agrees that it is solely responsible for providing accurate, complete, and current information and documentation. Applicant shall promptly notify BIZSOFT of any material change to information previously provided, to the extent known by Applicant. Applicant acknowledges that BIZSOFT and Recipients may rely upon the information submitted by Applicant and that Applicant's submission of false, misleading, incomplete, or fraudulent information may result in denial of financing or other action as permitted by law.
AUTHORIZATION TO SHARE INFORMATION. Applicant expressly authorizes BIZSOFT to collect, process, retain, use, and transmit Applicant’s information and documentation to Recipients and applicable service providers as reasonably necessary to facilitate the financing application process and provide the services described herein, subject to applicable law and BIZSOFT’s applicable privacy practices and policies.
Applicant understands that BIZSOFT may receive compensation, fees, commissions, referral fees, or other consideration from a Recipient or other third party in connection with facilitating or arranging a financing transaction, where permitted by applicable law. Any such compensation does not create a guarantee of approval or financing and does not give BIZSOFT authority to make underwriting or lending decisions on behalf of a Recipient.
Applicant further acknowledges that BIZSOFT is acting as an intermediary and facilitator and is not providing legal, tax, accounting, financial, or investment advice to Applicant. Applicant is encouraged to independently evaluate any financing offer and to review all applicable disclosures, agreements, rates, fees, repayment obligations, and other terms before entering into any financing transaction with a Recipient.
A copy, electronic reproduction, or facsimile of this authorization may be accepted as an original. Applicant's electronic signature, where permitted by applicable law, shall have the same force and effect as an original handwritten signature.
By signing below, Applicant acknowledges that Applicant has read, understands, and voluntarily agrees to the foregoing authorization, disclosures, and acknowledgments.
